Souterra Capital is the fund management entity dedicated to raising and stewarding investor capital across purpose-built funds. We operate independently from the day-to-day field operations of Souterra Resources, allowing each entity to focus on what it does best.

Capital is deployed through Joint Operating Agreements with Souterra Resources on a prospect-by-prospect basis, giving Limited Partners a Non-Operating Working Interest position in proven Louisiana wells that are reactivated by a vertically integrated team that controls both the operations and the services that support them.

Every fund formed by Souterra Capital follows the same disciplined model — investor capital in the senior position, with Souterra Capital earning carry only after investors are made whole and have received their preferred return.

Annual Management Fee on AUM

Souterra Capital charges an annual management fee on Assets Under Management to cover fund administration, investor reporting, legal and compliance costs, and the operational overhead of the fund management entity.

Preferred Return to Limited Partners

Limited Partners receive a preferred return on deployed capital before any carried interest is paid to the General Partner. Investor capital and preferred return are protected first.

Profit Split After Preferred Return

Once Limited Partners receive their initial capital plus preferred return, residual profits are split between investors and Souterra Capital as General Partner carried interest — aligning the fund manager strictly with investor outperformance.

Working Interest on Each Prospect

Each prospect is structured through a Joint Operating Agreement. The LP Fund holds a Non-Operating Working Interest; Souterra Resources receives a carried Operating Working Interest as the operator of record. The Fund covers CAPEX through production; OPEX is split thereafter per the JOA.

Specific economic terms — including fee percentages, preferred return rates, profit splits, and working interest divisions — are defined within each fund's formation documents and may vary on a fund-by-fund and JOA-by-JOA basis.

Trey is a Louisiana native and petroleum engineer bringing with him a senior-level upstream background. He has successfully completed drilling, sidetracking, and workover projects ranging from shallow turnkey wells across the Gulf Coast region to complex deepwater programs in the Gulf of America, including drilling engineering services and supervisory roles in Managed Pressure Drilling (MPD) operations for major operators. That range of experience, from simple onshore reactivations to the most technically demanding deepwater offshore wells, translates directly into Souterra's operating edge of disciplined well planning, rigorous execution, and a hands-on understanding of what each well needs to produce reliably and economically. A family man with three children and a wife, Trey is an avid golfer and woodworker who loves to spend his free time fishing and enjoying making memories with family and friends.

Aaron is a Louisiana native with a background that pairs oilfield-specific production chemistry with systems engineering. As a Senior Laboratory Manager for an oilfield chemical company, he has specified, blended, and deployed chemical treatment programs that help operators across the Gulf Coast troubleshoot, diagnose, and optimize the production and long-term health of their wells. At Souterra, that experience translates directly into the reactivation of forgotten Louisiana fields by providing better treatment strategies, cleaner production streams, and reliably healthier wells. Aaron is also a mentor to the next generation of industry professionals, serving as a part-time instructor at a local community college. A husband and father of two, he is passionate about golf, fishing, hunting, and tending to the land and livestock he and his family call home.

Justin is a Louisiana native and Series 65 licensed financial professional with a career spanning wealth management, lending, insurance, and private equity. As the founder of his own advisory practice, he guides clients through portfolio management, capital strategy, and long-term financial planning across multiple asset classes. Prior to launching his own firm, Justin helped build and grow a successful registered investment advisory practice giving him firsthand experience in scaling a financial business while maintaining fiduciary standards. At Souterra Capital, that experience translates directly into disciplined fund management, transparent investor reporting, strategic capital deployment, and the personal client relationships that institutional firms cannot replicate. A University of Louisiana at Lafayette graduate with deep roots in Acadiana, Justin is a dedicated husband and father who can usually be found spending time with his family and dog, playing golf, or sailing.

INVESTOR PORTAL

A dedicated home for limited partner reporting.

Once Souterra Capital's first fund is active, limited partners will have access to a secure investor portal for fund documents, capital account statements, and ongoing performance reporting. The portal is currently in development and is not yet available.

What the portal will provide

Fund documents. Subscription agreements, limited partnership agreements, private placement memoranda, and other formation documents specific to each LP's commitment.
Capital account statements. Contributions, distributions, and current capital account balance, refreshed on each reporting cycle defined in the applicable fund's governing documents.
Tax documents. Annual Schedule K-1s and supporting partnership tax materials, delivered securely once available for each tax year.
Fund performance reporting. Periodic updates on prospect-level activity, production performance, and fund-level results, prepared in the form and cadence established by each fund's governing documents.
Distribution notices and capital calls. Timely communication of cash distributions, capital call notices, and any other LP-facing fund actions.
Secure document delivery. All LP communications delivered through an authenticated, access-controlled environment rather than email attachments.
